1.根據(jù)《電子營(yíng)業(yè)執(zhí)照管理辦法（試行）》，市場(chǎng)主體設(shè)立登記后首次領(lǐng)取和下載電子營(yíng)業(yè)執(zhí)照，以及辦理變更登記后重新領(lǐng)取和下載電子營(yíng)業(yè)執(zhí)照，應(yīng)由經(jīng)本市登記機(jī)關(guān)登記的公司（或企業(yè)）法定代表人、合伙企業(yè)執(zhí)行事務(wù)合伙人（委派代表）、個(gè)人獨(dú)資企業(yè)投資人、個(gè)體工商戶經(jīng)營(yíng)者、農(nóng)民專業(yè)合作社法定代表人、各類企業(yè)分支機(jī)構(gòu)負(fù)責(zé)人（以下統(tǒng)稱法定代表人）領(lǐng)取和下載。 1.AccordingtotheRegulationofElectronicLicenseAdministration(trialversion),amarketentitythatapplyanddownloadelectroniclicense(hereinafterreferredtoasE-license)forthefirsttimeafterincorporationregistration,applyanddownloadagainaftermodificationregistration,accordingtothetypeofthemarketentity,theE-licenseshallbeappliedanddownloadedrespectivelybythelegalrepresentativeofthecompany,theexecutivepartner(oritsrepresentative)ofthepartnership,theinvestoroftheindividualproprietorshipenterprise,theproprietoroftheprivately-ownedbusiness,thelegalrepresentativeofthespecializedfarmerscooperative,thepersoninchargeofthebranchofcorrespondententerprises(hereinafterreferredtoasthelegalrepresentative),asregisteredbythelocaladministrationofmarketregulation.
2.法定代表人為外籍人士、臺(tái)港澳同胞的，可以選擇以下方式下載電子營(yíng)業(yè)執(zhí)照： （1）法定代表人簽署《電子營(yíng)業(yè)執(zhí)照下載確認(rèn)書(shū)》，本人持有效身份證件到登記機(jī)關(guān)現(xiàn)場(chǎng)核實(shí)身份，當(dāng)場(chǎng)掃碼下載電子營(yíng)業(yè)執(zhí)照。 （2）法定代表人簽署《電子營(yíng)業(yè)執(zhí)照下載確認(rèn)書(shū)》并委托他人到登記機(jī)關(guān)現(xiàn)場(chǎng)提交，由登記機(jī)關(guān)將電子營(yíng)業(yè)執(zhí)照下載二維碼發(fā)送到法定代表人指定的本人電子郵箱，由法定代表人通過(guò)電子郵件遠(yuǎn)程掃碼下載電子營(yíng)業(yè)執(zhí)照。 （3）具體郵件遠(yuǎn)程掃碼下載方法，詳見(jiàn)《郵箱遠(yuǎn)程下載電子營(yíng)業(yè)執(zhí)照操作指南》。 2.Forlegalrepresentativesofforeignnationalities,fromHongKong/Macao/Taiwan,theE-licensesmaynotbeappliedanddownloadedthroughfacialrecognitiononsmartphonesasPRCresidents,thefollowingapproachesareprovidedforapplyinganddownloading: (1)ThelegalrepresentativesignstheLetterofConfirmationfordownloadingE-license,andcompletesauthenticationbyvisitingtheregistrationauthority,carryingthevalidID.ThenthelegalrepresentativecanscantheQRcodetodownloadtheE-licenseon-site. (2)ThelegalrepresentativesignstheLetterofConfirmationfordownloadingE-license,andauthorizesotherstosubmitthisdocumenttotheregistrationauthority.TheregistrationauthoritysendstheQRcodefordownloadingE-licenseintheformofanE-mailtothedesignatedE-mailaddressofthelegalrepresentative,thenthelegalrepresentativecanscanthecodetodownloadtheE-license. (3)ThedetailedinstructionforscanninganddownloadingcanbereferredtointheTutorialofScanningandDownloadingElectronicLicense. 3.市場(chǎng)主體在設(shè)立或變更法定代表人時(shí)，若新任法定代表人為外籍人士、臺(tái)港澳同胞的，《電子營(yíng)業(yè)執(zhí)照下載確認(rèn)書(shū)》可以和其他登記材料一并提交，無(wú)需另行申請(qǐng)，設(shè)立或變更登記核準(zhǔn)后，法定代表人可以按所選方式下載電子營(yíng)業(yè)執(zhí)照。 通過(guò)“登記在線”申請(qǐng)?jiān)O(shè)立的外商投資企業(yè)及其分支機(jī)構(gòu)，如選用系統(tǒng)自動(dòng)生成的《公司登記（備案）申請(qǐng)書(shū)》提交設(shè)立申請(qǐng)的，無(wú)需額外簽署《電子營(yíng)業(yè)執(zhí)照下載確認(rèn)書(shū)》。 3.Foramarketentityapplyingforincorporation,ormodificationofthelegalrepresentative,ifthenewlegalrepresentativeisofforeignnationality,fromHongKong/Macao/Taiwan,theLetterofConfirmationfordownloadingE-licensecanbesubmittedtogetherwithotherapplicationdocuments,there’snoneedtoapplyseparately.Aftertheapplicationofincorporationormodificationisapproved,thelegalrepresentativecandownloadtheE-licensefollowingtheabove-mentionedinstructions. Forforeign-investedenterprisesandtheirbranchesapplyingforincorporationviatheIntegratedRegistrationServicesystem（http://yct.sh.gov.cn）,ifapplicantschoosetosubmittheprintedapplicationformgeneratedautomaticallybythesystem,there’snoneedtosigntheLetterofConfirmation. |
